Terms of Service

These Terms govern your use of Culvita, a rewards-based crowdfunding platform operated by Orbon-Simunovic Software (“we”, “us”). By creating an account or pledging to a project you agree to these Terms.

1. Who can use Culvita

Culvita is for U.S. residents aged 13 and older. Users under 18 (“minor creators”) must link a parent or legal guardian who completes consent, identity verification, and Stripe Connect onboarding before the minor can publish a project or receive funds. The parent or legal guardian is the legal account holder for payment purposes.

2. What Culvita is

Culvita is a rewards-based crowdfunding platform. Backers pre-order non-monetary rewards (the product itself, a thank-you, a behind-the-scenes look). Culvita is not:

• a securities, equity, or revenue-share platform;
• a lending platform or money transmitter;
• a charitable-donation platform;
• an NIL (name/image/likeness) platform.

Language suggesting investment returns, profit-share, dividends, loans, or guaranteed payback is prohibited and automatically flagged.

3. Pledges and funds flow

When you pledge to a project, your card is authorized but not charged. If the project meets its funding goal by the deadline, your card is charged and funds flow directly from your card to the creator's parent-owned Stripe Connect account, held in trust for the creator. If the goal is not met, the authorization is voided. Orbon-Simunovic Software does not hold funds at any point.

4. Milestone-protected delivery

Funded projects pay out in tranches as creators submit and staff approve delivery proofs. If a milestone passes its due date without an approved proof, the unreleased portion of each backer's pledge is automatically refunded to the original card.

6. Creator obligations

Creators agree to deliver promised rewards within a commercially-reasonable time of the stated estimate, communicate honestly with backers about delays, and not use Culvita for prohibited content (securities, NIL, crypto/tokens, charitable framing, or other categories listed in our moderation policy). Parent guardians are jointly liable for fulfillment.

7. Prohibited content and conduct

You may not use Culvita to: offer or solicit securities, equity, debt, or any form of investment return; raise money for crypto tokens, NFTs, or token sales; campaign as name/image/likeness (NIL); collect tax-deductible charitable donations; impersonate another person; or violate any applicable law.

8. Account suspension

We may suspend or terminate any account at our discretion for violations of these Terms or to comply with legal requests. Account holders may request deletion at any time via /settings/privacy.

9. Disclaimers

Culvita is provided “as-is”. We do not warrant that any project will deliver its rewards, meet its goal, or be free of defects. Our liability for any claim is limited to the platform fees you have paid to us (currently zero for v1).

10. Governing law

These Terms are governed by the laws of the United States. Any disputes will be resolved in the appropriate state or federal courts.

11. Changes

We may update these Terms; the “Last updated” date above will change. Continued use after an update constitutes acceptance.
